SAM & Co. advises Parijat Industries on acquisition of digital commerce platform from HELM AG

Shardul Amarchand Mangaldas & Co. (SAM) advised Parijat Industries on its acquisition of a retailer-focused digital commerce platform and associated retail database from PEAT GmbH, a subsidiary of German company HELM AG. The transaction marks the start of a broader strategic collaboration spanning digital commerce, crop protection products, technical manufacturing and international distribution.

Under the arrangement, Parijat and its subsidiary Leeds Life Sciences will gain exclusive rights to use the HELM brand in India. The collaboration aims to integrate digital commerce, product innovation and global supply-chain capabilities within the Indian agrochemical sector, leveraging the parties' combined sourcing, manufacturing and distribution strengths.

The SAM transaction team was led by partners Devesh Pandey and Abhiroop Datta, supported by specialists in tax, intellectual property and legal documentation across all transaction phases from negotiation through closing.
