Tata Sons August 18 AGM Faces Quorum Risk Amid Trust Regulatory Dispute

Tata Sons' annual general meeting scheduled for August 18 faces potential disruption over a quorum shortfall. The Sir Ratan Tata Trust (SRTT), which holds 23.56% of Tata Sons, cannot nominate a representative due to restrictions imposed by the Maharashtra Charity Commissioner. The commissioner's May order barred SRTT from holding board meetings pending an inquiry into its board composition.
Under Tata Sons' Articles of Association, when SRTT and Sir Dorabji Tata Trust together hold over 40% (they control roughly 66%), their jointly nominated representative is mandatory for quorum. Article 86 requires at least five members present, including this representative. Since SRTT cannot convene its board, it cannot jointly nominate with SDTT.
Tata Sons has not publicly changed the August 18 date. The company may proceed as scheduled but could subsequently adjourn if quorum remains unmet. The AGM is expected to address matters including the directorship of Chairman N Chandrasekaran, who has decided against seeking another term after February.
